  7. CFR 52.227-19- Commercial Computer Software-- Restricted Rights
  8.  
  9.  
  10. (a) As used in this clause, restricted computer software means 
  11. any computer program, computer data base, or documentation 
  12. thereof, that has been developed at private expense and either is 
  13. a trade secret, is commercial or financial and is 
  14. confidential or privileged, or is published and copyrighted.
  15.  
  16. (b) Not withstanding any provisions to the contrary contained in 
  17. any Contractor's standard commercial license or lease agreement 
  18. pertaining to any restricted computer software delivered under 
  19. this purchase order/contract, and irrespective of whether any 
  20. such agreement has been proposed prior to or after issuance of 
  21. this purchaser order/contract or of the fact that such agreement 
  22. has been proposed prior to or after issuance of this purchase 
  23. order/contract or of the fact that such agreement may be affixed 
  24. to or accompany the restricted computer software upon deliver, 
  25. vendor agrees that the Government shall have the rights that are 
  26. set forth in paragraph (c) of this clause to use, to duplicate or 
  27. disclose any restricted computer software delivered under this 
  28. purchase order/contract. The terms and provisions of this 
  29. contract, including any commercial lease or license agreement, 
  30. shall be subject to paragraph (c) of this clause and shall comply 
  31. with Federal law and the Federal Acquisition Regulations.

  33. (c)(1) The restricted computer software delivered under this 
  34. contract may not be used, reproduced or disclosed by the government 
  35. except as provided in subparagraph (c)(2) of this clause or as 
  36. expressly stated otherwise in the contract.

  38. (2) The restricted computer software may be--
  39.  
  40.      (i) Used or copied for use in or with the computer or 
  41. computers for which it was acquired, including use at any 
  42. Government installation to which such computer or computers may 
  43. be transferred;
  44.  
  45.      (ii) Used or copied for use in or with backup computer if 
  46. any computer for which it was acquired is inoperative;
  47.  
  48.      (iii) Reproduced for safekeeping (archives) or backup 
  49. purposes;
  50.  
  51.      (iv) Modified, adapted, or combined with other computer 
  52. software, provided that the modified, combined, or adapted 
  53. portions of the derivative software incorporating any of the 
  54. delivered, restricted computer software shall be subject to same 
  55. restrictions set forth in this purchase order/contract;
  56.  
  57.      (v) Disclosed to and reproduced for use by support service 
  58. Contractors or their subcontractors, subject to the same 
  59. restrictions set forth in this purchase order/contract;
  60.  
  61.      (vi) Used or copied for use in or transferred to a 
  62. replacement computer.

  64. (3) If the restricted computer software delivered under this 
  65. purchase order/contract is published and copyrighted, it is 
  66. licensed to the Government, without disclosure prohibitions, with 
  67. the rights set forth in subparagraph (c)(2) of this clause unless 
  68. expressly stated otherwise in this purchase order/contract.

  70. (4) To the extent feasible Contractor shall affix a Notice 
  71. substantially as follows to any restricted computer software 
  72. delivered under this purchase/order contract; or, if the vendor 
  73. does not, the Government has the right to do so: NOTICE- 
  74. Notwithstanding any other lease or license agreement that may 
  75. pertain to, or accompany the delivery of, this computer software, 
  76. the rights of the Government regarding its use, reproduction and 
  77. disclosure are as set forth in Government Contract (or Purchase 
  78. Order) No. _____________.

  80. (d) If any restricted computer software is delivered under this 
  81. contract with the copyright notice of 17 U.S> 401, it will be 
  82. presumed to be published and copyrighted and licensed to the 
  83. Government in accordance with subparagraph (c)(#) of this clause, 
  84. unless a statement substantially as follows accompanies such 
  85. copyright notice- rights reserved under the copyright law of the 
  86. United States.
